Nathan Hartland advises companies on a wide variety of international trade and trade compliance matters, including export controls, trade sanctions foreign investments in the United States, Customs and tariff matters, and related matters.  We represent clients directly but also serve as special counsel/local counsel on the following types of matters:

  • Mergers and Acquisitions (M&A) including due diligence, negotiation, contract drafting, closings, and transition services agreements (TSAs), on behalf of buyers, sellers, and lenders

  • Reviews of and filings relating to foreign investments in the United States under the Defense Production Act (DPA) and related Committee on Foreign Investments in the United States (CFIUS) regulations

  • Exportation of goods, technologies, and services, including matters under the jurisdiction of the Commerce Department’s Bureau of Industry and Security (BIS), the State Department’s Directorate of Defense Trade Controls (DDTC), the Treasury Department’s Office of Foreign Asset Controls (OFAC), the Department of Energy’s National Nuclear Security Administration (NNSA)

  • Importation of goods, technologies, and services, including matters involving the Department of Homeland Security’s Customs and Border Protection (CBP), and the Census Bureau

  • “Dual use” export control licenses under the Export Administration Regulation (EAR)

  • International Traffic in Arms Regulation (ITAR) registration matters and “munitions list” licenses/authorizations under the ITAR (such as technical assistance agreements (TAAs), manufacturing license agreements (MLAs), and other types of authorizations for both physical and “deemed” exports)

  • Foreign Ownership Control and Influence (FOCI) reviews

  • Anti-bribery laws such as the U.S. Foreign Corrupt Practices Act (FCPA)

  • Internal reviews and investigations involving thousands of potential violations

  • Help companies adapt supply chains to the ever-changing customs/tariff landscape

  • Review and defend the classification and origin of products

  • Conduct internal reviews, advise on voluntary and non-voluntary self-disclosures
