Nathan Hartland advises clients on matters involving government contracts and grants, international trade, and general business issues.  With decades of experience and a strong sense of dedication to clients, Nathan enjoys developing deep and lasting relationships with clients that help them develop strong strategies, move toward opportunities with confidence, and avoid regulatory pitfalls.  Nathan is also experienced in serving as special counsel and local counsel to large law firms in need of U.S. government contracting, grant, international trade, or Maryland-specific legal advice.

Government Contracts Experience -- Nathan has helped government contractors, grantees, and their subcontractors and lenders, in a wide variety of transactions and disputes involving:

  • Fought numerous bid protests on behalf of protestors and awardees (intervenors/interested parties) at the agency, Government Accountability Office (GAO), U.S. Court of Federal Claims, Federal Circuit, and various state and local levels such as the Maryland State Board of Contract Appeals (MSBCA) and Board of Public Works (BPW)

  • Prepared requests for equitable adjustment (REAs) and certified and uncertified claims under the Contract Disputes Act (CDA)

  • Advised government landlords on billions of dollars worth of real estate leases to federal agencies, including the General Services Administration (GSA), U.S. Army Corps of Engineers (USACE), United States Postal Service (USPS), and various other federal, state, and local government agencies

  • Advised on government contract/lease formation issues including SAM registration, failure of contract/lease to reflect proposal terms, small business subcontracting plans , amendments, task order (TO) and delivery order (DO) issuance

  • Mergers and Acquisitions (M&A) Due diligence and negotiation in mergers and acquisitions on behalf of buyers, sellers, and lenders, including handling of numerous novations and other issues involved with asset sales and corporate restructurings

  • Numerous “go no go” reviews and “green yellow red light” reviews of government contracting and subcontracting initiatives by commercial companies

  • Assisted with the review and completion of numerous representations and certifications (Reps and Certs) relating to government prime contracting and subcontracting

  • Analyzed hundreds of issues arising under small business and socioeconomic programs (including small business set-aside contracts, limitations on subcontracting, the Small Business Administration (SBA) 8(a) program, the HUBZone program, the Service Disabled Veteran Owned Small Business (SDVOSB) program, the Small Business Innovation Research (SBIR) program; and other federal, state and local programs

  • Advised on single award, multiple award, and multiple award government-wide acquisition vehicles (GWACs), indefinite delivery indefinite quantity (IDIQ) contracts, and other transactions (OTAs)

  • Performed “flow down” analyses under the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), other agency supplements, and OMB and other agency grant rules

  • Negotiating teaming agreements, joint ventures, and subcontracts, including for both single award and IDIQ/MATOC procurements

  • Prepared and negotiated intellectual property licensing terms for government contracts, subcontracts, grants, subgrants, and other transactions (OTAs)

  • Advised on compliance with government ethics rules, anti-lobbying rules, organizational conflict of interest (OCI) and personnel conflict of interest (PCI) rules

  • Worked with inside counsel and government investigators to conducted internal investigations, report violations, and put in place administrative agreements to help avoid or end suspension or debarment

  • Analyzed product origin requirements under many different domestic origin laws and their exceptions, such as the Buy American Act administered by the Federal Transit Administration, the Trade Agreements Act, the Berry Amendment, and the American Recovery and Reinvestment Act's "Buy American" provisions

International Trade -- Nathan has counseled U.S. and foreign organizations in export control, trade sanctions, and other regulatory matters such as:

  • Worked with inside and outside counsel and business persons on licensing and compliance under the Export Administration Regulation (EAR) administered by the U.S. Department of Commerce's Bureau of Industry and Security (BIS) involving exports, collaborations, and disclosures valued at many millions of dollars, including many in the context of M&A deals

  • Extensive experience with licensing and compliance under the International Traffic in Arms Regulations (ITAR) administered by the U.S. Department of State's Directorate of Defense Trade Controls (DDTC) including licensing and enforcement matters valued in the millions of dollars

  • Provided time sensitive advice and representation involving the Committee on Foreign Investments in the United States (CFIUS), including both small large transactions involving sensitive technologies and information

  • Helped many U.S. and non-U.S. based companies to navigate U.S. trade sanctions and embargoes administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), including compliance programs and recusals

  • Helped companies interpret and comply with U.S. customs, tariffs. and country of origin marking requirements, including responses to Customs requests for additional information about shipments

  • Analyzed and handled complex “deemed export” issues involving software, encryption, materials handling equipment, aerospace technology and manufacturing, munitions list items,  and related issues for large and small organizations
